Terms and Conditions

Akash Jadhav provides the following freelance digital services:

• WordPress website development and Elementor design
• Brand identity and graphic design (logo, visual systems, creatives)
• LinkedIn page growth and social media marketing strategy
• Content writing, copywriting, and SEO-optimised blog content
• Performance marketing — Meta Ads (Facebook & Instagram) and Google Ads
• Search engine optimisation (SEO) for websites and blogs
• Digital marketing training and business consulting
• eBook design and enterprise content production

The exact scope, timeline, deliverables, and pricing for any specific project will be defined in a separate written agreement, proposal, or Statement of Work ("SOW") mutually agreed upon before work begins. These Terms form the baseline agreement and apply alongside any such SOW.

Services are offered subject to availability. I reserve the right to decline any project request at my sole discretion without being required to provide a reason.

All fees will be communicated in writing before work commences. Prices are quoted in Indian Rupees (INR) unless otherwise agreed in writing. Prices are exclusive of applicable taxes unless stated otherwise.

Unless otherwise agreed in writing, the following payment structure applies:

• 50% advance payment required before any work begins
• 50% final payment due upon project completion and before final file delivery

For ongoing retainer or monthly service agreements, payment is due on the 1st of each month in advance.

Accepted payment methods include UPI, bank transfer (NEFT/RTGS/IMPS), and other methods mutually agreed upon. Payment details will be shared upon project confirmation.

If payment is not received by the agreed due date, I reserve the right to:

• Pause all ongoing work until payment is received
• Withhold final deliverables until full payment is cleared
• Charge a late fee of 2% per week on outstanding amounts after a 7-day grace period
• Terminate the project agreement with no refund of advance payments

Advance payments are non-refundable once work has commenced unless I am unable to complete the agreed services due to circumstances on my end. If a project is cancelled by the client after work has begun, the advance payment will be retained to cover work completed to date. If a project is cancelled before any work begins, a full refund of the advance will be processed within 7 business days.

The client agrees to provide accurate, complete, and timely information required for the project. This includes brand guidelines, content, access credentials, feedback, and any approvals. Delays caused by the client providing incomplete or inaccurate information may result in revised timelines or additional charges.

The client is responsible for providing feedback and approvals within the timeframes agreed in the project proposal or SOW. If feedback is not received within 7 business days of a deliverable being submitted, the deliverable will be considered approved and the project will proceed to the next stage.

For projects requiring access to existing platforms (WordPress dashboards, social media accounts, ad accounts, hosting, etc.), the client is responsible for providing valid access credentials securely. I will not be held responsible for any issues arising from incorrect or expired credentials provided by the client.

The client warrants that all content, materials, and information provided to me for use in the project:

• Does not infringe any third-party intellectual property rights
• Is not defamatory, obscene, unlawful, or in violation of any applicable law
• Does not violate the privacy or data protection rights of any individual

The client agrees to indemnify and hold me harmless from any claims, losses, or damages arising from client-provided content or materials.

All work, designs, code, content, and deliverables created by me remain my intellectual property until full payment has been received. I retain the right to withhold or remove access to deliverables in case of non-payment.

Upon receipt of full and final payment, the client receives a non-exclusive licence to use the final deliverables for the purposes outlined in the project agreement. Full ownership and all intellectual property rights in the final deliverables are transferred to the client only if explicitly agreed in writing in the project SOW. Unless such written assignment is made, I retain copyright in all creative work.

I reserve the right to display completed work in my professional portfolio, on buildwithakash.me, on social media, and in case studies unless the client requests otherwise in writing before project commencement. Client-specific confidential business information will not be disclosed in such portfolio use.

If a project requires the use of third-party assets (stock photos, fonts, plugins, templates, or software), the client is responsible for ensuring appropriate licences are obtained and maintained. I will advise on any third-party assets used and ensure they are sourced from legitimate sources.

Any proprietary methodologies, processes, frameworks, templates, or tools used in delivering services remain my intellectual property at all times and are not transferred to the client as part of any project.

I agree to keep all client business information, strategies, proprietary data, and materials shared in the course of a project strictly confidential. This information will not be shared with third parties without the client's prior written consent, except where required by law.

The client agrees not to disclose, share, or reproduce any proprietary methodologies, pricing structures, internal processes, or confidential communications shared by me in the course of providing services.

Confidentiality obligations under this section continue for a period of 3 years after the completion or termination of any project or engagement.

The number of revisions included in any project will be specified in the project proposal or SOW. Standard projects typically include 2 rounds of revisions unless otherwise agreed. Revisions are limited to adjustments within the original agreed scope of work.

Revisions beyond the agreed number, or revisions that constitute a change in scope, will be treated as additional work and billed at my current hourly or per-item rate, to be agreed upon before the additional work begins.

Any changes to the original project scope — including additional features, pages, deliverables, or services — will require a written amendment to the original SOW. Scope changes may affect the project timeline and pricing. Work on scope changes will not commence until both parties agree in writing.

All project timelines are estimates provided in good faith based on the information available at the time of proposal. Timelines begin from the date of receipt of the advance payment and all required project materials from the client.

If the client causes delays — including delayed feedback, late provision of materials, delayed approvals, or late payments — the project timeline will be adjusted accordingly. I will not be held responsible for missed deadlines caused by delays on the client's side. Additional fees may apply if client delays result in significant rescheduling.

Neither party will be held liable for delays caused by circumstances beyond their reasonable control, including but not limited to natural disasters, internet outages, government restrictions, illness, or other force majeure events. Both parties agree to communicate promptly and work in good faith to reschedule affected work.

To the fullest extent permitted by applicable law, my total liability for any claims arising from services provided under these Terms shall not exceed the total amount paid by the client for the specific project or service that gave rise to the claim.

I shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, or reputational damage, arising from the use of my services or deliverables, even if I have been advised of the possibility of such damages.

I am not responsible for the performance, availability, or actions of any third-party platforms, tools, plugins, hosting providers, social media platforms, advertising platforms, or other services used in delivering my services. Any issues arising from such third-party services are outside my control and liability.

While I will use best professional efforts, I cannot guarantee specific outcomes from any service, including but not limited to:

• Rankings in search engines (SEO results)
• LinkedIn follower growth targets
• Ad campaign performance metrics
• Business leads or sales generated from websites or campaigns

All performance expectations will be discussed and documented as targets rather than guarantees.

This website is provided for informational purposes and to facilitate enquiries about my services. You may access and use the website for legitimate personal and business purposes in accordance with these Terms.

You agree not to:

• Use the website in any way that violates applicable local, national, or international laws or regulations
• Scrape, copy, reproduce, or republish any content from this website without prior written permission
• Attempt to gain unauthorised access to any part of the website or its underlying systems
• Transmit any unsolicited commercial communications or spam through website contact forms
• Use the website to transmit any harmful, offensive, or unlawful content

While I make every effort to ensure information on this website is accurate and up to date, I do not warrant the completeness, accuracy, or suitability of any information on the website for any particular purpose. Content may be changed or updated without notice.

I take reasonable precautions to protect client information. However, no transmission of data over the internet can be guaranteed to be 100% secure. I will not be held liable for any unauthorised access to data transmitted via this website.

The client may terminate a project engagement by providing written notice. Upon termination:

• Payment is due for all work completed up to the date of termination
• Advance payments are non-refundable
• Partially completed deliverables may be shared at my discretion once outstanding payment is received

I reserve the right to terminate a project engagement at any time if:

• The client breaches any material term of these Terms
• Payment obligations are not met after reasonable notice
• The client requests work that is unlawful, unethical, or harmful
• The working relationship becomes untenable due to repeated scope changes, abusive communication, or bad faith

In such cases, I will refund any payment for work not yet completed, after deducting fees for work already performed.

Upon termination, the client's right to use any partially completed deliverables is subject to full payment of all outstanding amounts. Sections of these Terms relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.

In the event of a dispute arising out of or in connection with these Terms or any project engagement, both parties agree to first attempt to resolve the matter through direct, good-faith communication. Most disputes can be resolved through honest dialogue and mutual respect.

If a dispute cannot be resolved through direct communication within 30 days, both parties agree to attempt resolution through a neutral, mutually agreed mediator before pursuing formal legal action.

These Terms are governed by and construed in accordance with the laws of India. Any legal disputes that cannot be resolved through mediation shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

These Terms, together with any project-specific SOW or written agreement, constitute the entire agreement between the client and me with respect to the services and supersede all prior discussions, representations, or agreements.

I reserve the right to update these Terms at any time. The current version will always be available at buildwithakash.me. Continued use of my services after any updates constitutes acceptance of the revised Terms. For existing active engagements, changes to Terms will not apply retroactively without mutual written agreement.

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it valid and enforceable. All other provisions remain in full force and effect.

My failure to enforce any provision of these Terms on any occasion does not constitute a waiver of that provision or my right to enforce it on any future occasion.

You may not assign or transfer your rights or obligations under these Terms to any third party without my prior written consent. I may engage subcontractors or assistants to deliver services, provided I remain responsible for the quality and delivery of all agreed work.

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the client and me. I am an independent contractor providing services on a freelance basis.
